Terms of service

Parties

The service is provided by Sun Lda, which uses the brand Cryomatica, with its registered office at Rua Hermenegildo Gomes Pereira 27 G, 2500-833 Caldas da Rainha, Portugal. Email: info@cryomatica.com.

The client is a real-estate agency, a company or a sole trader, that orders its own website. The form on this site is a request for a quote, not the contract.

The service

Cryomatica gives the agency a standalone website and publishes its properties on Belakey. It is not invoicing software.

• A copy of the site for that agency alone, with its domain, brand, panel, database and photos, kept apart from other agencies.
• A Portuguese and English interface, an enquiry form that goes to the agency, and photos compressed on upload.
• Automatic publishing of listings on Belakey, at no extra charge, as part of the plan.
• Export to Idealista through the contract the agency has with Idealista. Sun Lda is not a party to that contract and does not replace it. Export depends on the contract being active and on Idealista’s rules.

Plans and prices

Prices exclude VAT. There is no separate setup fee: the year-1 amount is the monthly price multiplied by 12, paid once at the start of the service.

• Essencial: €300 in year 1 and €25 a month from month 13. Up to 500 listings and 1 admin user. A template site with the agency’s logo and colours.
• Profissional: €468 in year 1 and €39 a month from month 13. Up to 3,000 listings and up to 5 admin users, more layout choices, and priority support.
• The agency can move up or down a plan. Above 3,000 listings, the setup is agreed separately.
• The extras on the services page are not included and go ahead only when a quote is accepted.

Hosting and domain

Hosting and domain registration are not inside the plan price.

• By default, each agency has a managed hosting plan in Cryomatica’s Hostinger account (Unlimited, 50 GB), with its own app, database and domain. Sun Lda pays that plan and the domain and re-invoices them at cost, or with a small rounding, as separate invoice lines.
• A typical site uses about 20 GB. A very large site can move to a 100 GB plan, also at cost.
• The agency manages listings in the panel and does not need hosting access. If you want the hosting in your own name, you buy it in your account and grant Cryomatica access; the hosting invoice is then billed to you directly by the provider.
• The domain belongs to the agency, including when we register it.

Term, notice and leaving

Year 1 is 12 months paid upfront.

• From month 13 the service renews month by month, with no minimum term, and each monthly fee is due at the start of the period.
• From month 13, either party may end the service with 30 days’ written notice to the other party’s email. There is no exit fee.
• Export of listings and photos is free at any time, including during year 1.
• Moving the domain to another provider has no fee charged by Sun Lda.
• Publishing on Belakey depends on Belakey being available. An interruption at the portal is not, by itself, a failure of the agency site.

The agency’s duties

The agency is responsible for what it publishes.

• Having the rights to the text, photos and data in the listings.
• Keeping listings current and answering enquiries that arrive from the site.
• Not publishing unlawful content. Sun Lda may remove content that is plainly unlawful, and will tell the agency whenever the law allows.
• Keeping panel access safe and telling us if you suspect misuse.

Personal data

Processing follows the privacy policy and the client contract.

• On agency sites, the agency is the controller of enquiries and leads. Sun Lda is the processor (GDPR article 28) and handles that data only on documented instructions, in order to provide the service.
• The data-processing clause is part of the client contract. The final draft will be attached to the signed version.
• Sun Lda is controller only for the business contacts agencies have with it, including the form on this site.

Availability

Managed hosting includes updates, security, SSL and the plan’s automatic backups. We do not promise a service without interruption. Planned interruptions that are ours to control are announced with reasonable notice.

Liability

In the final version, Sun Lda’s liability for direct loss is limited to the fees paid for the Cryomatica service in the 12 months before the event, except in cases of intent or gross negligence, or where the law does not allow a limit. This sentence is provisional and must be reviewed by a lawyer.

Non-payment

Year 1 is due before the site goes live. Later monthly fees are due at the start of each month. Non-payment, after notice, may lead to the site being suspended until it is put right. Export of listings and photos stays available during a suspension for non-payment, for a reasonable period to be set in the final contract.

Law and contact

Portuguese law applies. The courts of Caldas da Rainha and Bombarral have jurisdiction, and the parties waive any other, except where a mandatory rule says otherwise.
